These terms apply to the use of this website and to valuation engagements. Your engagement letter takes precedence over anything here if the two differ.
Engagement
A valuation engagement begins when you accept a written quote and engagement letter. The engagement letter sets out the purpose of the valuation, the standard of value, the entities to be valued, the valuation date, the deliverable and the fixed fee.
We will not proceed without a defined purpose and standard of value, because both change the conclusion.
Fees
Fees are fixed and agreed in writing before work commences. Our fee does not vary with the value we conclude, and we do not accept contingent or success-based fee arrangements.
Where the scope changes materially — additional entities, a change of purpose, or a request for expert evidence not originally contemplated — we will quote the variation in writing before undertaking it.
Information you provide
Our conclusion relies on the information you provide. We review that information for reasonableness and internal consistency, but a valuation is not an audit and we do not verify it independently unless the engagement expressly says so.
Where information is not provided, the report discloses that fact and the assumption made in its place.
Use of the report
A valuation report is prepared for the party named in it, for the purpose stated in it, and at the valuation date stated in it. It may not be relied on by any other party, for any other purpose, or at any other date, without our written consent.
The report may not be reproduced in part, or quoted out of context, in a way that could mislead as to its conclusion or its assumptions.
Expert appointments
Where we accept a single expert appointment, our overriding duty is to the court, not to the party who pays us. We will comply with the applicable expert evidence rules and any directions of the court.
We will not accept both a single expert and a shadow expert role in the same matter, and we will disclose any conflict of interest before accepting an appointment.
Limitations
A valuation is an opinion of value at a specific date, formed on stated assumptions. It is not a guarantee of a price obtainable in a transaction, and actual prices vary with deal structure, buyer synergies, restraint terms and market conditions at the time of sale.
Nothing in a valuation report constitutes legal, taxation or financial product advice. You should obtain your own advice from an appropriately licensed adviser before acting.
